See how investment into the company or a stake transfer changes reported ownership. Simplified assumptions do not determine fair value, ownership rights or ideal negotiation terms.
Method and assumptions
- Post-money = pre-money + investment. New investor = investment/post-money; existing ownership × pre-money/post-money.
- For a post-money basis, pre-money = post-money − investment and must be positive. Economic equity value is not nominal share capital or enterprise value including debt.
- By units: price = pre-money/previous units; new units = investment/price. Fractions are flagged for instrument adjustment.
- A secondary sale preserves total units and transfers them from seller to buyer. Mixed transactions follow the declared order. Percentage-point and relative reductions differ.
Limits
- Secondary sale money goes to the seller, not automatically into company cash. Unknown bases are not completed.
- Excludes SAFEs, convertible notes, caps, discounts, preferences, anti-dilution, multiple classes, options and ESOP. These receive a review checklist. YC documentation is not a contract for a Brazilian company.
- Percentage tolerance: 0.01 point. Quantities up to 1 trillion; displayed values do not establish rights.
- Money is stored as integer cents. Rates retain internal precision; display uses up to six decimals.
- An empty field means not provided. Zero is a known value.
- Limit per amount: 10 billion currency units; dates from 1900 to 2200. Monetary amounts with English thousands separators are normalized when leaving the field, before calculation.
- Language does not change the currency or imply international coverage.
- Inputs and results remain in this browser’s memory. Reloading or clearing removes the data.
